These Terms of Service ("Terms") govern your use of the TurboAnchor website and services provided by TurboAnchor AG. Please read these Terms carefully before using our services.

Acceptance of Terms

By accessing or using our website, services, or risk assessment frameworks, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you may not use our services. TurboAnchor reserves the right to modify these Terms at any time, and your continued use of our services constitutes acceptance of any changes.

Description of Services

TurboAnchor provides comprehensive business risk assessment framework guides and related consulting services. Our services include operational risk frameworks, financial risk assessments, compliance risk management, strategic risk planning, and specialised risk assessment tools. All services are provided subject to these Terms and any additional agreements between TurboAnchor and the client.

User Obligations

When using our services, you agree to:

  • Provide accurate and complete information when requesting services or creating accounts
  • Use our services only for lawful purposes and in accordance with these Terms
  • Maintain the confidentiality of any login credentials or access information
  • Not attempt to gain unauthorised access to our systems or services
  • Not use our services to transmit harmful, offensive, or illegal content
  • Comply with all applicable laws and regulations in your use of our services
  • Respect the intellectual property rights of TurboAnchor and third parties

Service Availability and Performance

Whilst we strive to provide reliable and continuous access to our services, TurboAnchor does not guarantee that our website or services will be available at all times or free from interruptions. We reserve the right to suspend or discontinue any part of our services for maintenance, updates, or other operational reasons. We will make reasonable efforts to provide advance notice of planned service interruptions where possible.

Payment Terms

Payment terms for TurboAnchor services are specified in individual service agreements or invoices. Unless otherwise agreed, payment is due within 30 days of invoice date. Late payments may incur additional charges as permitted by law. TurboAnchor reserves the right to suspend services for accounts with overdue payments. All prices are quoted in Euros and exclude applicable taxes unless otherwise stated.

Intellectual Property

All content, materials, frameworks, methodologies, and intellectual property provided by TurboAnchor remain the exclusive property of TurboAnchor AG. This includes but is not limited to risk assessment frameworks, documentation, software, designs, trademarks, and copyrighted materials. Clients receive a limited licence to use TurboAnchor materials solely for their internal business purposes as specified in service agreements. No transfer of ownership or rights beyond the specified licence is granted unless explicitly agreed in writing.

Confidentiality

TurboAnchor respects the confidentiality of client information and maintains appropriate safeguards to protect sensitive business data. Clients similarly agree to maintain the confidentiality of TurboAnchor's proprietary methodologies, frameworks, and business information. Confidentiality obligations survive the termination of any service agreement and continue indefinitely unless information becomes publicly available through no fault of the receiving party.

Limitation of Liability

To the maximum extent permitted by law, TurboAnchor's liability for any claims arising from the use of our services is limited to the amount paid by the client for the specific service giving rise to the claim. TurboAnchor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. This limitation applies regardless of the legal theory upon which the claim is based and even if TurboAnchor has been advised of the possibility of such damages.

Disclaimers

TurboAnchor's risk assessment frameworks and services are provided "as is" without warranties of any kind, express or implied. Whilst we strive to provide accurate and effective risk management tools, we make no guarantees regarding the completeness, accuracy, or suitability of our frameworks for specific business situations. Clients are responsible for adapting and implementing risk assessment frameworks according to their specific circumstances and regulatory requirements. TurboAnchor disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Indemnification

Clients agree to indemnify and hold harmless TurboAnchor, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from the client's use of our services, violation of these Terms, or infringement of any third-party rights. This indemnification obligation includes reasonable legal fees and costs incurred in defending against such claims.

Governing Law

These Terms are governed by and construed in accordance with the laws of Germany. Any disputes arising from or relating to these Terms or the use of TurboAnchor services shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Termination

Either party may terminate service agreements in accordance with the terms specified in individual contracts. TurboAnchor reserves the right to terminate or suspend access to our services immediately if a user violates these Terms or engages in conduct that may harm TurboAnchor or other users. Upon termination, all rights and licences granted to the user cease immediately, and any outstanding payment obligations remain due and payable.

Force Majeure

TurboAnchor shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or technical failures. In such events, TurboAnchor will make reasonable efforts to resume normal operations as soon as practicable.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent and economic effect of the original provision.

Entire Agreement

These Terms, together with any additional service agreements and our Privacy Policy, constitute the entire agreement between TurboAnchor and users regarding the use of our services. These Terms supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties.
